SILAC's rating and ownership are both in motion — verify before doing anything
AM Best has assessed SILAC's enterprise risk management as marginal and revised its outlook to negative, citing a decline in the quality of its reinsurance counterparties and rising reinsurance leverage, including agreements with unrated reinsurers. Separately, Hildene Capital Management agreed to acquire SILAC, with the transaction expected to close subject to regulatory approval. Reporting on SILAC's precise current grade is not consistent across sources, which is itself a reason to go to AM Best directly rather than trust any secondary summary, including this one.
Three things to understand about SILAC.
Reinsurance with unrated counterparties is the specific concern
AM Best did not raise a general worry. It named reinsurance leverage and the quality of SILAC's reinsurance counterparties, including agreements with unrated reinsurers. Reinsurance is how an insurer offloads risk; if the party absorbing that risk is itself unrated, the protection is harder to assess. This is the substance behind the negative outlook.
An acquisition mid-flight adds a second unknown
Ownership changes can strengthen a carrier — capital comes in, ratings improve. They can also change investment strategy and risk appetite. Until the transaction closes and AM Best responds to it, the rating you look up today may not be the rating that governs your contract in eighteen months.
If you buy here, the guaranty association limit is your actual protection
For a carrier in the B tier with a negative outlook and a pending sale, your state's guaranty association limit is not a footnote. It should be a hard cap on how much premium you place, and you should know the number before you sign, not after.
